These Terms of Service (“Terms”) govern access to and use of othalyx.com and websites, research materials, frameworks, downloads, demonstrations, and other services that expressly link to these Terms and are provided by Orca Athalyx Intelligence LLC (“Orca Athalyx Intelligence,” “Othalyx,” “Orca,” “we,” “us,” or “our”).
By accessing or using these services, you agree to these Terms.
If you do not agree, you should not use the applicable service.
1. About Orca
Orca Athalyx Intelligence is an intelligence company and product studio working on systems for the space between artificial intelligence output and human action.
Our work may include research, frameworks, evaluations, strategic advisory services, product pilots, applied systems, educational materials, software, and collaborations.
The information provided through our public website is intended to communicate and develop this work. It is not a substitute for professional advice or your own judgment.
2. Scope of These Terms
These Terms govern general use of the Orca website and materials that link to them.
A separate written agreement may apply when you:
- purchase advisory or consulting services;
- participate in a paid diagnostic;
- enter a product pilot;
- commission research;
- license technology or intellectual property;
- participate in certain research activities;
- access private systems or client environments; or
- otherwise enter into a formal commercial relationship with Orca.
If a signed agreement between you or your organization and Orca conflicts with these Terms, the signed agreement controls for the subject matter it covers.
Products operated by Orca, including Bismillah.ai, may have their own Terms of Service. Those product-specific terms govern use of the relevant product.
3. Eligibility and Authority
You may use our public website only in compliance with applicable law.
If you engage Orca or accept these Terms on behalf of a company, institution, or other organization, you represent that you have authority to act on that organization’s behalf.
You may not enter into a paid service relationship with Orca unless you are legally able to enter into a binding contract.
4. Research, Frameworks, and AI-Related Materials
Orca publishes research and develops frameworks relating to AI, human judgment, context, culture, behavior, trust, and consequence.
These materials are intended to support analysis and decision quality.
They do not guarantee:
- factual accuracy in every circumstance;
- identification of every relevant risk;
- a particular business outcome;
- regulatory compliance;
- the suitability of an AI system;
- accurate prediction of human behavior; or
- that a particular decision is correct.
The Othalyx Five-Lens Model and related materials are structured methods for examination and judgment.
They are not automated verdicts and are not substitutes for qualified expertise where specialized expertise is required.
5. Human Judgment and Consequential Decisions
You remain responsible for decisions you make using information, frameworks, analyses, recommendations, or outputs obtained from Orca.
You should apply appropriate human review before relying on information in situations involving significant consequences.
This is particularly important in areas such as:
- employment;
- healthcare;
- financial decisions;
- legal matters;
- education;
- eligibility or access;
- safety;
- regulated activities;
- high-impact organizational decisions; and
- decisions materially affecting another person’s rights or opportunities.
Orca’s work may help identify questions, assumptions, uncertainties, contextual factors, or consequences.
It does not transfer responsibility for a final decision from the decision-maker to Orca.
6. No Professional Advice
Unless a separate written engagement expressly states otherwise, materials available through the Orca website do not constitute:
- legal advice;
- medical or mental-health advice;
- investment advice;
- accounting or tax advice;
- employment-law advice;
- regulatory certification;
- religious rulings; or
- any other licensed professional service.
You should consult an appropriately qualified professional when such expertise is required.
7. Artificial Intelligence
Some Orca services, research processes, prototypes, or internal workflows may incorporate artificial intelligence.
AI-generated or AI-assisted material can be incomplete, outdated, inaccurate, misleading, or inappropriate for a particular context.
You agree not to treat the mere use of AI, statistical models, algorithms, or automated tools as evidence that an output is correct or suitable for action.
Orca may design systems intended to help expose uncertainty, context, behavioral effects, or downstream consequences.
Those systems reduce neither your responsibility to evaluate an output nor the need for domain-specific review.
8. Intellectual Property
Unless otherwise stated, the Orca website and its original content, design, text, graphics, diagrams, methodologies, research materials, software, documentation, branding, and other materials are owned by or licensed to Orca Athalyx Intelligence LLC and are protected by applicable intellectual-property laws.
This includes, where applicable, materials associated with:
- Orca Athalyx Intelligence;
- Othalyx;
- the Othalyx Five-Lens Model;
- research methodologies;
- diagrams and visual systems;
- evaluation structures;
- worksheets;
- written research;
- software and prototypes; and
- Orca branding.
Nothing in these Terms transfers ownership of Orca intellectual property to you.
9. Permitted Use of Public Materials
Unless a specific resource states otherwise, you may:
- view publicly available materials for personal or internal business purposes;
- link to public Orca webpages;
- reference Orca research using reasonable attribution; and
- quote limited portions for commentary, scholarship, journalism, or similar lawful purposes.
You may not, without permission:
- reproduce substantial portions of Orca materials as your own;
- sell or commercially redistribute Orca materials;
- remove ownership or attribution notices;
- falsely claim authorship or endorsement;
- create a confusingly similar branded service;
- use Orca research or frameworks in a way that falsely implies certification by Orca;
- systematically scrape or harvest protected content;
- bypass access restrictions; or
- use Orca intellectual property in violation of applicable law.
Separate licensing terms may apply to specific downloadable resources.
10. The Othalyx Five-Lens Model
Public publication of the Othalyx Five-Lens Model does not place the model or its original expression into the public domain.
Orca encourages responsible discussion, research, critique, citation, and application of the ideas underlying the model.
However, no person or organization may represent themselves as certified, endorsed, accredited, approved, or officially evaluated by Orca Athalyx Intelligence unless Orca has expressly authorized that representation in writing.
Adaptation or application of the methodology by third parties does not mean Orca has reviewed or endorsed the resulting decision, product, system, or organization.
11. Materials You Provide to Orca
You retain ownership of materials you submit to Orca unless otherwise agreed.
When you voluntarily provide information through the public website, you give Orca permission to use that information as reasonably necessary to:
- respond to you;
- evaluate the request;
- provide requested services;
- operate the relevant interaction; and
- comply with law.
Do not submit material that you do not have the right to provide.
For confidential, proprietary, regulated, or highly sensitive information, an appropriate agreement and secure handling process should be established before the information is transferred.
Submission through a general contact form or ordinary email does not by itself create a confidential, fiduciary, advisory, attorney-client, or other special relationship.
12. Feedback
If you voluntarily provide ideas, suggestions, comments, or general feedback about Orca’s public research, services, or products, Orca may use that feedback to improve its work without obligation to compensate you.
This provision does not give Orca ownership of confidential materials, proprietary business information, or intellectual property governed by a separate written agreement.
13. Acceptable Use
You may not use Orca’s website, systems, or materials to:
- violate applicable law;
- infringe intellectual-property or privacy rights;
- introduce malware or harmful code;
- interfere with system security or availability;
- attempt unauthorized access;
- impersonate another person or organization;
- conduct deceptive or fraudulent activity;
- misrepresent Orca’s findings or endorsement;
- circumvent technical restrictions;
- extract data through abusive automated means; or
- use Orca services in a manner reasonably likely to cause material harm to Orca or others.
We may restrict access where reasonably necessary to protect our systems, users, intellectual property, or legal interests.
14. Third-Party Services and Links
The Orca website may link to or integrate with services operated by third parties.
Those services are governed by their own terms and policies.
Orca does not control and is not responsible for third-party services merely because they are linked from or referenced by our website.
15. Availability and Changes
We may add, modify, suspend, or discontinue portions of our website or public services.
Research and methodologies may evolve as we learn from further testing and application.
A document identified as a draft, working model, experimental methodology, beta, preview, or similar designation should be understood as subject to change.
We are not required to maintain historical versions of every public resource indefinitely.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ORCA WEBSITE, PUBLIC MATERIALS, AND SERVICES PROVIDED WITHOUT A SEPARATE WRITTEN WARRANTY ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ORCA DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that:
- the website will always be available;
- information will always be complete or error-free;
- every source or third-party system will remain available;
- a framework will identify every relevant issue; or
- use of our materials will produce a particular result.
Nothing in this section limits warranties that cannot legally be excluded.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCA ATHALYX INTELLIGENCE LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM GENERAL USE OF THE WEBSITE OR PUBLIC MATERIALS.
For claims arising solely from use of the publicly available website or free public materials, Orca’s aggregate liability will not exceed US $100, unless applicable law requires otherwise.
Liability relating to a paid advisory engagement, product pilot, license, research project, or other commercial service will be governed by the applicable written agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
18. Indemnification
To the extent permitted by law, you agree to be responsible for claims, losses, or expenses arising from your unlawful misuse of Orca’s services, infringement of another person’s rights, or material violation of these Terms.
This provision does not apply to the extent a claim was caused by Orca’s own unlawful conduct.
19. Privacy
Our collection and use of personal information are described in the Orca Athalyx Intelligence Privacy Policy.
By using the site, you acknowledge that information will be handled as described in that policy and as otherwise required by applicable law.
20. Copyright and Intellectual-Property Concerns
If you believe content available through an Orca service infringes your intellectual-property rights, contact: info@othalyx.com
Please provide sufficient information for us to identify the material and understand your claim.
21. Suspension or Termination
We may suspend or terminate access to non-public portions of a service when reasonably necessary because of:
- violation of these Terms;
- security threats;
- fraudulent or unlawful activity;
- non-payment under an applicable agreement; or
- material risk to Orca, another user, or a third party.
Termination does not affect provisions that by their nature should survive, including intellectual-property, limitation-of-liability, confidentiality, payment, and dispute provisions.
22. Governing Law
Except where a separate written agreement specifies otherwise, these Terms and disputes relating solely to use of the Orca public website will be governed by the laws of the State of Illinois, without regard to conflict-of-law principles.
Subject to any mandatory rights available under applicable law, disputes relating solely to these Terms will be brought in an appropriate state or federal court located in Illinois.
Nothing in these Terms prevents Orca from seeking appropriate injunctive or equitable relief to protect confidential information, security, or intellectual-property rights.
23. Changes to These Terms
We may update these Terms as our work, services, and legal obligations evolve.
If we make changes, we will update the “Last updated” date.
Material changes affecting an active paid service may be communicated separately where appropriate or governed by the applicable client agreement.
Continued use of the public website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
24. General Terms
If a provision of these Terms is determined to be unenforceable, the remaining provisions remain in effect.
Failure to enforce a provision does not waive our right to enforce it later.
These Terms do not create a partnership, joint venture, employment relationship, fiduciary relationship, or agency relationship between you and Orca.
You may not assign rights under these Terms in violation of applicable law.
Orca may transfer these Terms as part of a merger, reorganization, acquisition, or transfer of substantially all relevant business assets.
